I give all prospective clients a free 30-minute confidential consultation, so that I can learn about your organization’s needs. After that initial consultation, I will provide you with a proposed course of action and fee structure.

Bylaws Review and Governance Advice

I will review and update your existing Bylaws, as well as recommend changes and issues that your Board should consider and discuss. I can also advise on board recruitment and committee structure.

Forming a New Nonprofit

I will lead you through the process of forming an Arizona nonprofit corporation and applying for 501(c)(3) status from the Internal Revenue Service.

Contract Review

I review and advise on many types of contracts, ranging from employment contracts to real estate purchase contracts, loan documents and donation agreements.

Referrals

Some issues, like employment law, require specialized assistance that I cannot provide. Over my 30 years of practice in three different firms in Tucson, I have gotten to know many lawyers. If I can’t help you, I will refer you to experienced lawyers who will know how to assist you.

Advice on Policies

Whether you need policies on conflicts of interest, DEI, gift acceptance, investments, or whistleblowing, I can provide you with examples, advice and drafting.

Charitable Giving and Fundraising

I can help you communicate with donors about providing for your nonprofit in their estate plan through vehicles such as charitable remainder trusts. I can also advise your fundraising team on donor-advised funds, raffles and grantwriting.

Who is Arizona Nonprofit Counsel?

When I retired from the full-time practice of law in late 2019, I wanted to start a “second chapter” helping nonprofits. I had served on many nonprofit boards during my career, and as board chair for five of those. Before my retirement and after, I had the privilege of helping nonprofits solve issues such as succession planning, merging with another nonprofit, hiring a new executive director, creating a strategic plan, fundraising and even deciding how to continue performing during the Covid “shutdown” of 2020 and 2021.

Starting in 2020, I also started working with the Community Foundation for Southern Arizona’s Center for Healthy Nonprofits, presenting Tips for Serving as an Effective Board Chair and the Legal Obligations of Nonprofit Board Members. I also helped facilitate discussions on how to start a nonprofit, Robert’s Rules of Order, and many other issues facing nonprofits.

Southern Arizona has a vibrant and diverse nonprofit community, with more than 4500 nonprofits employing almost 40,000 people. These organizations provide valuable services to people in need, help advocate for social justice and change, and create inspirational cultural and artistic experiences. I founded Arizona Nonprofit Counsel PLLC to provide low-cost legal advice and services so that your nonprofit’s limited resources can be put to use fulfilling your mission.
